  • Provide legal advice and counsel to clients on various corporate matters including mergers and acquisitions, corporate governance, securities, private equity, venture capital, and other transactional matters.
  • Draft, review, and negotiate a wide range of corporate documents such as shareholder agreements, partnership agreements, merger agreements, acquisition agreements, and other transactional documents.
  • Conduct legal due diligence on behalf of clients in connection with mergers, acquisitions, and other corporate transactions.
  • Advise clients on compliance with federal and state securities laws and regulations.
  • Assist clients in the formation, organization, and dissolution of corporations, partnerships, and other business entities.
  • Collaborate with other attorneys in the firm on complex legal matters.
  • Develop and maintain strong relationships with clients.
  • Stay updated on the latest changes in corporate law and participate in continuous legal education programs.Qualifications:
    • Juris Doctorate from an accredited law school.
    • Licensed to practice law in NJ & NY
    • Minimum of 4 years of experience in corporate law.
    • Strong transactional experience with a focus on mergers and acquisitions, corporate governance, and securities.
    • Excellent verbal and written communication skills.
    • Ability to manage multiple tasks and meet deadlines.
    • Strong analytical and problem-solving skills.
