- Provide legal advice and counsel to clients on various
corporate matters including mergers and acquisitions, corporate
governance, securities, private equity, venture capital, and other
- Draft, review, and negotiate a wide range of corporate
documents such as shareholder agreements, partnership agreements,
merger agreements, acquisition agreements, and other transactional
- Conduct legal due diligence on behalf of clients in connection
with mergers, acquisitions, and other corporate transactions.
- Advise clients on compliance with federal and state securities
laws and regulations.
- Assist clients in the formation, organization, and dissolution
of corporations, partnerships, and other business entities.
- Collaborate with other attorneys in the firm on complex legal
- Develop and maintain strong relationships with clients.
- Stay updated on the latest changes in corporate law and
participate in continuous legal education programs.Qualifications:
- Juris Doctorate from an accredited law school.
- Licensed to practice law in NJ & NY
- Minimum of 4 years of experience in corporate law.
- Strong transactional experience with a focus on mergers and
acquisitions, corporate governance, and securities.
- Excellent verbal and written communication skills.
- Ability to manage multiple tasks and meet deadlines.
- Strong analytical and problem-solving skills.
- Proficient in legal research tools and Microsoft Office
